TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "your," or "User"), and Educational Apps Solutions LLC ("Company," "we," "us," or "our"), concerning your access to and use of the Memora SRS mobile application, website, and any other media forms, media channels, mobile websites, or applications related, linked, or otherwise connected thereto (collectively, the "Service").

Please read these Terms carefully. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and must discontinue use immediately.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

1.1 Age Requirements

The Service is intended for users who are at least 13 years of age. If you are under the age of 18, you represent that you have received your parent or legal guardian’s permission to use the Service and that your parent or guardian has agreed to these Terms on your behalf.

1.2 Account Security

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are entirely responsible for maintaining the confidentiality of your account credentials (username and password) and for any and all activities that occur under your account. You agree to notify us immediately at support@educationalappssolutions.com of any unauthorized use of your account or any other breach of security.

2. DESCRIPTION OF SERVICE

Memora SRS is a mobile flashcard and study platform utilizing cognitive science-based learning techniques, including Active Recall and Spaced Repetition Systems (SRS). The Service allows users to create, study, share, and organize educational materials into cards, decks, and folders, and to integrate multimedia elements including, but not limited to, audio recordings and digital images.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice to you, and we will not be liable to you or any third party for doing so.

3. USER-GENERATED CONTENT (UGC)

3.1 Ownership of Your Content

You retain all ownership rights, including copyrights, in the text, images, audio, data, or other materials you create, upload, or input into the Service ("User Content").

3.2 License to the Company

By posting, uploading, or creating User Content on or through the Service, you grant Educational Apps Solutions LLC a worldwide, non-exclusive, royalty-free, fully paid, perpetual, irrevocable, and sublicensable license to host, store, use, display, reproduce, modify, adapt, publish, and distribute your User Content solely for the purposes of operating, developing, marketing, and improving the Service.

3.3 Public vs. Private Content

The Service may offer options to make your flashcards and decks public or private. If you designate User Content as "public," you grant other users of the Service a non-exclusive, perpetual license to access, view, copy, and study that content within the platform.

3.4 User Representations and Warranties

You represent and warrant that:

  • You own or have the necessary licenses, rights, and permissions to use and authorize us to use your User Content.

  • Your User Content does not infringe, violate, or misappropriate any third-party right, including copyright, trademark, patent, trade secret, moral right, or privacy right.

  • Your User Content does not contain any defamatory, obscene, harmful, or illegal material.

4. INTELLECTUAL PROPERTY RIGHTS

Except for User Content, the Service and all materials therein, including software, source code, databases, functionality, UI/UX designs, audio, video, text, photographs, graphics, logos, trademarks, and proprietary algorithms (collectively, the "Company Content"), are owned by or licensed to Educational Apps Solutions LLC. Company Content is protected by United States and international copyright, trademark, and trade secret laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly for your personal, non-commercial educational purposes.

5. ACCEPTABLE USE AND PROHIBITED CONDUCT

You agree to use the Service only for lawful purposes. You agree not to engage in any of the following prohibited activities:

  • Academic Dishonesty: Using the Service to cheat, violate academic integrity policies, or bypass the testing and grading regulations of any school, university, or educational institution.

  • Data Scraping & Mining: Using any robot, spider, crawler, scraper, or other automated means to extract data or content from the Service for any purpose without our express written permission.

  • Security Interference: Circumventing, disabling, or otherwise interfering with security-related features of the Service or features that prevent or restrict the use or copying of any content.

  • Reverse Engineering: Copying, modifying, creating a derivative work of, reverse engineering, or deconstructing the source code or proprietary spaced repetition algorithms powering the Service.

  • Impersonation: Impersonating another user, person, or entity, or misrepresenting your affiliation with Educational Apps Solutions LLC.

6. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) POLICY

Educational Apps Solutions LLC respects the intellectual property rights of others. If you believe that any material available on or through the Service infringes upon any copyright you own or control, please notify our Designated Copyright Agent immediately with the following information:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest.

  2. A description of the copyrighted work that you claim has been infringed.

  3. A description of where the material that you claim is infringing is located on the Service.

  4. Your address, telephone number, and email address.

  5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

  6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

7. TERMINATION AND SUSPENSION

We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Service (including blocking certain IP addresses) to any person for any reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or any applicable law.

We may terminate your use or participation in the Service or delete your account and any content or information that you posted at any time, without warning, in our sole discretion. If we terminate or suspend your account for any reason, you are prohibited from registering a new account under your name, a fake name, or the name of any third party.

8. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, EDUCATIONAL APPS SOLUTIONS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SERVICE’S CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICE. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT, METHODOLOGY, OR GRADE IMPROVEMENT ASSOCATED WITH THE APPLICATION'S MEMORY TECHNIQUES.

9. LIMITATION OF LIABILITY

IN NO EVENT WILL EDUCATIONAL APPS SOLUTIONS LLC, ITS DIRECTORS, EMPLOYEES, INTERNS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Educational Apps Solutions LLC, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, interns, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your User Content; (2) your use of the Service; (3) a breach of these Terms; or (4) any overt harmful act toward any other user of the Service with whom you connected via the Service.

11. GOVERNING LAW AND JURISDICTION

These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of New Jersey, United States of America, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the federal or state courts located in the State of New Jersey, and you hereby consent to the personal jurisdiction of such courts.

12. MODIFICATIONS TO TERMS

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date at the top of these Terms. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms.
